By visiting wraxel.com or submitting an inquiry, project brief, or entering into a service agreement with Wraxel ("Company", "we", "us"), you ("Client", "User") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, along with our Privacy Policy and Cookie Policy.
If you do not agree with any part of these terms, you must not use our website or engage our services. We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance.
Wraxel provides enterprise-grade software engineering, AI & machine learning integration, cloud infrastructure, mobile application development, SaaS product development, performance marketing, and related technical consulting services.
All project scopes, timelines, deliverables, pricing, and acceptance criteria are defined in a mutually executed Statement of Work (SOW) or project proposal. Services commence only upon written agreement from both parties and receipt of any applicable upfront payment.
Client IP Ownership: Upon full payment of all invoices for a project, the Client receives full ownership of all custom-developed source code, designs, databases, and deliverables produced specifically for that project. This is our unconditional commitment.
Wraxel's Pre-Existing IP: Any proprietary frameworks, libraries, tools, methodologies, or generic components that Wraxel brings to a project remain Wraxel's intellectual property. Clients receive a perpetual, royalty-free license to use such components as embedded in their deliverables.
Website Content: All content on wraxel.com including text, graphics, logos, and branding is the exclusive property of Wraxel and is protected by copyright. Unauthorized reproduction is prohibited.

All prices are in the currency specified in the project proposal (USD, CAD, or INR). Applicable taxes (GST/HST) will be added as required by law.
Both parties agree to keep confidential all proprietary, technical, and business information shared during the engagement. Wraxel routinely executes mutual Non-Disclosure Agreements (NDA) prior to detailed project discussions upon request.
Wraxel warrants that services will be performed professionally and deliverables will conform to agreed specifications at delivery. We provide a 30-day defect warranty period on delivered features at no additional charge.
Limitation of Liability: To the maximum extent permitted by applicable law, Wraxel's total cumulative liability to a Client for any claims arising out of a project shall not exceed the total fees paid by the Client for that specific project in the 12 months preceding the claim.
Wraxel shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Either party may terminate a project engagement by providing 14 days' written notice. Upon termination:
Wraxel may terminate immediately for cause if the Client fails to make payment within 30 days of the due date or violates these Terms & Conditions.
In the event of any dispute arising from or relating to these Terms or any project engagement, the parties agree to:
Neither party shall initiate formal legal proceedings before exhausting the above steps, except where urgent injunctive relief is required.
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Gujarat, India, for engagements originating from India, and the Province of Ontario, Canada, for engagements originating from North America, without regard to conflict of law provisions.
